Effective October 1st, 2012, Impreglon has acquired 100 % of the surface engineering specialist Hitemco Southwest in Houston, Texas.

After the introduction to the Impreglon group of the Swiss company RUAG Coatings and acquisitions in China and Australia earlier this year, this is Impreglon's 4th new facility in 2012.]
Not only does Hitemco Southwest offer Impreglon a presence in the southwestern United States, the company brings with it new technologies for coating applications in the fields of crude oil, natural gas, offshore and aviation.
Despite a weak global economy, management is confident that the group's revenue will increase to over 100 million Euro next year.

Effective September 2012, RUAG Coatings AG, located in Altdorf, Switzerland, became a 100 % subsidiary of Impreglon SE in Lüneburg, Germany.
RUAG decided to sell off this division, because it is not part of their core business and, in collaboration with the Impreglon group, has a greater chance for a successful future. All of the employees will continue to work for the company. The acquisition was finalized October 4, 2012. The two parties agreed not to disclose the purchase price.

Impreglon is a global leader in the field of surface engineering. The group has 25 facilities in 12 countries across four continents. It employs 880 people and anticipates revenue of 90 million Euro in 2012. The company is traded on the German stock exchange under the stock ticker I3M.

RUAG Coatings supplies surface treatments for the machinery, automotive, bicycle and defense industries to over 250 customers in Switzerland, Germany and Austria. The division, with about 100 employees, generates revenue of around CHF 25 million. It will now be named 'Impreglon Coatings.'
With our new subsidiary in Altdorf, the range of surface treatments offered by the Impreglon group will be expanded to include some interesting new special coatings, offering our customers a 'one stop shop' for their coating needs. 'In the future, the plants in Altdorf, Kaufbeuren and Landsberg will work together to increase the group's activities in Switzerland, southern Germany and Austria,' says Henning J. Claassen, chairman of the board of directors of Impreglon SE.

'We are excited to have found Impreglon as a purchaser. The internationally recognized specialist in the coating field can continue to develop RUAG Coatings as part of the Impreglon group and strengthen its market position,' adds Konrad Peter, executive chairman of RUAG Holding AG.

Recession Delays Launching of Major Projects

After a strong first quarter 2012, the global recession left its mark particularly on Group profits towards the end of the second quarter. While depreciation and start-up expenses for four new facilities completed in late 2011 and three major projects posed significant expenses, projected sales were not achieved due to the weaker global economy. Especially the delayed start-up and the lower production volume - a result of the soft economy - of the three major projects, costing over 10 million EUR, placed a strain on the EBIT results.
Because of the weak economy and seasonal trends, management is not anticipating improvement during the third quarter. However, increasing production in the new projects should not only result in higher organic revenue for the fourth quarter and particularly for 2013, it should also mean greater profit. As far as inorganic aspects go, the weak global economy offers acquisitions of potential interest, continuing the current 'buy & build' strategy. After acquiring a majority share of 'Aixite Surface Technology' in China and recently purchasing the surface engineering company 'Finished Products' in Australia, one or two new acquisitions should still be possible within 2012.

What was presented as one of the future acquisition targets at the Impreglon shareholder meeting last week became reality. Effective July 1, 2012 Impreglon took over 'Finished Products Pty.' of Sydney and renamed it 'Impreglon Australia Pty.'
After Europe, Asia and America Impreglon is now present on 4 continents.
Impreglon Australia already offers its customers a variety of different coating processes and therefore perfectly fits the 'One stop shop' strategy of the Impreglon group. Major branches are mining, medical and automotive. The parties agreed not to disclose the purchasing price.

2012 Q1 Group Results Announced.

2012 Q1 sales up by 13.9% compared with 2011 Q1.

A weakened economy in the fourth quarter of 2011, particularly outside of Germany, led to cautious expectations for first quarter 2012 results. After a weak start in January, orders stabilized throughout the period. The result: sales of 20,761,000 Euro - the highest in the history of the company.

Despite the fact that the new production facilities opened in late 2011 had not yet reached full capacity, revenue in the first quarter 2012 was the second highest ever. The record figures for the first quarter of 2011, a boom time for the machinery and automotive industry, were not quite achieved, making it even more remarkable that revenue rose 70% as compared to the fourth quarter of last year.
Although production for the first of the announced major projects was begun in March, management is not anticipating start of production for the second project until late summer. The same applies to production tests for the ChromOptics project, which should begin generating revenue in the fourth quarter of this year. Before the production of biological waste air purification systems can begin at the Zwickau plant in the fourth quarter, about 1.2 million Euro will have to be invested in plant and equipment for the new product line 'Impreglon BioTec'.
Management expects the economy to remain weak in non-German European countries throughout 2012, with a recovery in 2013. The new major projects starting in 2012 will boost sales in Germany. The same can be said for the new acquisitions in the US and Asia in 2011 and 2012 which should lead steady revenue figures and an increase in sales of approx. 20% in 2012.

Impreglon Makes the Leap to China.

 Controlling Interest Acquired in Aixite Surface Technology, Shanghai.

On April 20, 2012 - effective retroactively as of January 1, 2012 - Impreglon acquired a majority stake of 51 % in a Chinese surface engineering company.
Since many of Impreglon's customers from the automotive industry had established plants in China and repeatedly urged Impreglon to join them there, Impreglon began looking for a suitable location. With its high concentration of automotive suppliers, Shanghai was the natural choice. The crucial factor was that it was also an opportunity to acquire a controlling interest in a Chinese coating specialist with state-of-the-art technology. Aixite will change its name to Impreglon Surface Technology and will also offer other coating processes from the Impreglon range.
With its latest acquisition, Impreglon continues its successful 'buy & build' strategy. This second location in Asia brings the total to 22 facilities in 11 different countries.
